ShotsbyAI Creator Program Terms

1. Introduction

Welcome to the ShotsbyAI Creator Program ("Program"). These Creator Program Terms ("Terms") govern your participation as a Creator in the Program operated by ShotsbyAI ("Company," "we," "us," or "our"). By joining the Program, you agree to be bound by these Terms, our Terms of Service, Privacy Policy, and Community Guidelines.

The Program enables approved Creators to earn compensation when users generate images using their Photoshoots and Packs on the ShotsbyAI platform.

2. Definitions

• "Creator" means an individual who has been approved to participate in the Program and has accepted these Terms.
• "Generation" means a single instance of a user creating an AI-generated image using your Photoshoot or Pack.
• "Qualified Generation" means a legitimate Generation from a unique user that was not artificially produced, incentivized, or obtained through manipulation of platform mechanisms.
• "Photoshoot" means an AI prompt/style template created by a Creator that users can use to generate images.
• "Pack" means a collection of Photoshoots grouped together by a Creator.
• "Earnings" means the compensation accrued by a Creator based on Qualified Generations.
• "Maturity Date" means the date that is sixty (60) days after Earnings are calculated.
• "Payment Threshold" means the minimum balance of fifty dollars ($50.00 USD) required before payment is issued.

3. Eligibility & Enrollment

3.1 Basic Requirements

To be eligible for the Program, you must:

• Be at least eighteen (18) years of age
• Have a valid ShotsbyAI account in good standing
• Be approved by ShotsbyAI (via admin approval or valid invitation code)
• Accept these Terms
• Provide accurate and complete information
• Reside in a jurisdiction where participation is legally permitted

3.2 Approval Process

Participation in the Program is by invitation only or admin approval. We reserve the sole discretion to approve or deny any application without providing a reason. Approval may be revoked at any time if you fail to meet eligibility requirements or violate these Terms.

3.3 Terms Acceptance

You must accept the current version of these Terms before your profile can be made publicly discoverable. If we update these Terms, you may be required to accept the new version to continue participating in the Program.

4. Compensation

4.1 Earnings Rate

Creators earn compensation based on Qualified Generations of their content. The current rate is:

The per-generation rate is approximately $0.0333 USD.

4.2 Rate Changes

ShotsbyAI reserves the right to modify the earnings rate at any time. We will provide thirty (30) days advance notice before any rate change takes effect. Notice will be provided via email to the address associated with your account and/or through the platform dashboard. Continued participation after the effective date of the change constitutes acceptance of the new rate.

4.3 Earnings Calculation

Earnings are calculated daily based on Qualified Generations from the previous day. Only generations that meet our qualification criteria will count toward your earnings. We reserve the right to determine, in our sole discretion, which generations qualify.

4.4 Non-Qualifying Generations

The following do not count as Qualified Generations:

• Self-generations (using your own Photoshoots)
• Artificially inflated generations
• Generations from fake, bot, or duplicate accounts
• Generations obtained through incentivized programs or paid promotion
• Generations resulting from any form of manipulation or fraud

5. Payment Terms

5.1 Maturity Period

All Earnings are subject to a sixty (60) day maturity period from the date of calculation. This period allows for verification of Qualified Generations and protection against fraud or chargebacks.

5.2 Payment Threshold

Payments will only be issued when your matured Earnings balance reaches the minimum threshold of fifty dollars ($50.00 USD). Balances below this threshold will accumulate until the threshold is met.

5.3 Payment Method

You must provide valid payment information through your Creator dashboard. We may offer various payment methods including but not limited to bank transfer, PayPal, or other electronic payment services. Payment processing fees, if any, may be deducted from your payment.

5.4 Payment Schedule

Once your matured balance exceeds the Payment Threshold, payments will be processed according to our standard payment schedule, typically within thirty (30) days.

5.5 Currency

All Earnings are calculated and paid in United States Dollars (USD). Currency conversion fees for international payments are your responsibility.

5.6 Tax Responsibility

You are solely responsible for all taxes, levies, duties, and other governmental charges applicable to any payments you receive. For U.S. Creators, we may be required to issue IRS Form 1099 if you earn $600 or more in a calendar year. You agree to provide accurate tax information upon request.

6. Content Standards

6.1 Original Content

All Photoshoots and Packs you create must be:

• Original content created by you, OR
• Content for which you have all necessary rights, licenses, and permissions
• Free from third-party intellectual property claims

6.2 Prohibited Content

You may not create or upload content that:

• Infringes any copyright, trademark, or other intellectual property rights
• Contains harmful, abusive, harassing, or threatening material
• Depicts illegal activities or promotes violence
• Contains explicit sexual content or nudity (unless specifically permitted)
• Violates any applicable laws or regulations
• Violates our Community Guidelines or Terms of Service
• Is deceptive, misleading, or fraudulent

6.3 Quality Standards

We reserve the right to reject, remove, or demonetize any content that does not meet our quality standards, as determined in our sole discretion.

6.4 Content Review

All Photoshoots and Packs are subject to review before becoming publicly available. We may require changes or reject content without providing a reason.

7. Intellectual Property

7.1 Your Ownership

You retain all ownership rights to the original content you create and upload to the platform.

7.2 License Grant

By participating in the Program, you grant ShotsbyAI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

• Use, reproduce, distribute, display, and perform your content
• Create derivative works based on your content
• Use your name, likeness, and profile information for promotional purposes
• Continue displaying and monetizing your content after termination of your participation

7.3 License Duration

The license granted in Section 7.2 survives termination of your participation for content that was made available during your participation.

8. Confidentiality

8.1 Confidential Information

You agree to keep confidential and not disclose to any third party:

• Your specific earnings rates and amounts
• Platform metrics and analytics provided to you
• Non-public information about the Program
• Any information marked as confidential

8.2 Exceptions

This confidentiality obligation does not apply to:

• Information that becomes publicly available through no fault of yours
• Information required to be disclosed by law
• Information disclosed to your professional advisors under confidentiality

9. Program Modifications

9.1 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated with reasonable advance notice. Your continued participation after such changes take effect constitutes acceptance.

9.2 Changes to Program

We may modify, suspend, or discontinue any aspect of the Program at any time, including:

• Earnings rates (with 30-day notice)
• Payment thresholds
• Eligibility requirements
• Features and functionality

10. Termination

10.1 Termination by You

You may terminate your participation at any time by contacting us or using the tools provided in your dashboard. Termination does not affect previously calculated Earnings that have reached maturity.

10.2 Termination by Us for Cause

We may immediately terminate or suspend your participation if you:

• Violate these Terms or any other applicable policies
• Engage in fraudulent, illegal, or harmful activity
• Become involved in any situation that could reflect unfavorably on ShotsbyAI
• Provide false or misleading information
• Manipulate engagement metrics or earnings

10.3 Termination by Us Without Cause

We may terminate your participation for any reason with thirty (30) days written notice.

10.4 Effect of Termination

For Cause: Upon termination for cause, all unpaid and unmatured Earnings may be forfeited. You will not receive any payment for Earnings that have not yet reached the Maturity Date.

Without Cause: Upon termination without cause, Earnings that have reached maturity and exceed the Payment Threshold will be paid according to normal payment procedures.

10.5 Survival

Sections 7 (Intellectual Property), 8 (Confidentiality), 11 (Limitation of Liability), 12 (Indemnification), and 13 (Dispute Resolution) survive termination.

11. Limitation of Liability

11.1 Disclaimer of Warranties

THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

• Continuous, uninterrupted, or secure access to the Program
• That the Program will meet your expectations
• Any specific level of Earnings or Generations
• The accuracy of any metrics or calculations

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOTSBYAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

11.3 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PROGRAM SHALL NOT EXCEED THE TOTAL AMOUNT PAID TO YOU UNDER THE PROGRAM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless ShotsbyAI, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your participation in the Program
• Content you create or upload
• Your violation of these Terms
• Your violation of any third-party rights
• Any taxes, penalties, or interest arising from payments to you

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us to attempt informal resolution.

13.3 Arbitration

Any dispute not resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, USA, or remotely at our discretion.

13.4 Class Action Waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. General Provisions

14.1 Independent Contractor

You are an independent contractor and not an employee, partner, or agent of ShotsbyAI. You are not entitled to any employee benefits.

14.2 No Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

14.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

14.4 Entire Agreement

These Terms, together with our Terms of Service, Privacy Policy, and Community Guidelines, constitute the entire agreement between you and ShotsbyAI regarding the Program.

14.5 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
